Definitions

The following Terms and their respective meanings are used in the Terms and Conditions and Subscription Agreement.

“Creator” refers to a user who uploads Content to the Website to be viewed by other Subscribers;

“Subscriber” refers to a user who follows a Creator and views and/or purchases the Creator’s Content;

“User“ refers to any user of the Website, whether a Creator or a Subscriber;

“Creator Content” refers to any and all photos, videos and other material uploaded or streamed onto myonly.chat by a Creator;

myonly.chat Terms and Conditions of use (“Terms”), apply to all Creators and Subscribers using the myonly.chat website.  “We,” “our” or “us” refers to TECHHELP US LP, our subsidiaries, affiliates, and any digital platforms that we host or operate. “myonly.chat” refers to this website and the services offered by us.

By using myonly.chat, you agree to these Terms, as well as any other policies or amendments that we may introduce, or revise, and post from time to time. We encourage you to read these Terms carefully and become very familiar with them because your continued membership will depend on your adherence to them.  

We are very protective of your private information and take every reasonable precaution to safeguard any personal or confidential details that you may share as part of your myonly.chat experience.  For information about our data protection practices, please see our Privacy Policy,  While we reserve the right to collect and use your information in accordance with those policies, you have our commitment that we will not sell your confidential information to any third party.  

Account Requirements

• You must be at least 18 years old to register or to upload Creator Content on myonly.chat. You are solely and fully responsible for your account, as well as protecting the security of your account.  
• Your access to myonly.chat, and creative Content are considered proprietary and restricted to your individual account.  Your account may not be sold or transferred to another Creator. 
• If you believe that your account has been compromised in any way, please Contact Us and we will disable your account while we consider how to grant you access back to your account.  

Abusive Conduct and Restrictions

• We emphasize and remind you to use your account responsibly and comply with all of the stated Terms and policies, as amended from time to time.  Since you are solely responsible for all activity on your account, we reserve the right to terminate your membership at any time at our sole discretion.  
• We are strict about each User’s adherence to our Terms, so we don’t permit Creations, Content or conduct that violate our Content Policy
• We discourage use of the myonly.chat website for any illegal, abusive or immoral activity.  Using our website for any illicit activity is strictly forbidden.   Additionally, you may not attempt to misuse or exploit our platform, code, or technology for any illegal actions or to cause any harm to others.
• We do not allow the use of automated programs that are intended to disrupt the normal use of the Website.
• You may not impersonate an admin or employee of myonly.chat.
• You may not use the Website as a platform to endorse or promote political or religious beliefs.
• You may not engage in illegal, dangerous, harmful activities. Self harm, harm to others and criminal activities are strictly prohibited throughout the site

myonly.chat reserves the right to restrict access and use of our website to anyone that doesn’t meet our membership qualifications or who has been identified as having violated our Terms. 

Membership Types

myonly.chat provides two types of subscription accounts – for Creators and Subscribers.

• Creator – is someone who uploads content and must sign up by completing the Independent Contractor Agreement and provides all of the required verification information,
• Subscriber – Is someone who elects to join myonly.chat and view Content made available by Creators.  Creating an account is free, but you can only create one account per email address.

Payments

• Subscribers may purchase monthly recurring subscriptions to a Creator’s private content. This subscription will automatically renew until the subscriber opts to stop the recurring subscription, at which time you will have access until the end of the subscription period and no further charges will be made.
• One-time payments for individual content purchases are also available on myonly.chat. The content will be made available to Subscribers as soon as the payment is settled by the payment provider.
• The Creator will be paid the agreed Commission for all Content sales in accordance to the payout periods and rates agreed between the Creator and myonly.chat.
• Refunds – All payments are final and non-refundable. If there is a problem with the Content purchased, contact a myonly.chat support agent and we will try to find an amicable resolution. 
• If you are located in a jurisdiction where myonly.chat is required to charge, collect and remit tax to the local taxation authorities (e.g. sales tax, VAT, etc.), then this tax will be automatically added to your purchase transaction.
• Subscribers who maliciously engage in refunds or chargebacks may have their accounts closed and asked to leave the site permanently.  
• Billing services on myonly.chat are administered by Stripe with the statement descriptor chargeDM. 

Content on myonly.chat

• Creators maintain complete ownership of all  Creator Content (“Creations”).  
• The purpose of this license is strictly intended to allow us to provide and promote memberships to Users who may be interested in myonly.chat or gaining access to your Creations. Please note that this permission allows us to use and/or modify your Creations for promotional purposes, by adding stickers, text, filters, frames and watermarks, as well as to make your Creator Content available to Subscribers and for normal operations of our website.
• If you upload content that includes another person than yourself, you are responsible for ensuring that you have permission to use the content and that the other person depicted is at least 18 years of age. You may have to provide documentation if asked by our moderation staff. 
• We have no obligation to post content that you have uploaded if it is found to violate our Content Policy and standards. Our content moderators have final say on which Content makes it onto myonly.chat.
• We will never try to steal your Creations, use them in an exploitative way, or sell them to another platform.
• You represent that you have legitimate ownership of, or permission to use, the Creations that you offer to others on myonly.chat.  You may not post Creations that infringe on the intellectual property or proprietary rights of others.  
• Subscribers may not use Creations posted by Creators in any way that is not authorized by the Creator.
• Subscribers may NOT copy, distribute, reproduce or transmit any content found on myonly.chat.  If they are found doing so, their Account will be terminated.

Uploaded Content Policy 

Any content found on myonly.chat that violates our content policy will be taken down immediately. Content uploaded may not:

• impersonate other people, misrepresent yourself or steal other Creators’ content. 
• copy, reproduce, distribute content that is not yours.
• engage in advertising other products or websites, spamming, or sending junk mail. 
• engage in harassment, spamming, bullying or hate speech.
• encourage the exchange of personal information, arrange payments off-site or engage in personal meetings/escorting.
• encourage the use of drugs, firearms and weapons or related paraphernalia.
• encourage discussions of contentious current affairs issues.
• promote any fundraising activities or commercial services.
• promote any other activities that violate the intended use of the website.

Referrals 

• Creator Referral – Once approved as a Creator on myonly.chat, you will be given a unique Creator Referral Link that you may use to invite other Creators to myonly.chat. You will be entitled to a Referral Commission of 5% of net content earnings in the first year of the newly referred account and 2.5% for the second year. Creators referred by you must register using your link in order for the corresponding Commissions to be paid to your Account. 
• User Referral – Creators earn 25% commission when their Vanity Link members spend on other creators on myonly.chat. A Vanity Link member is a user that clicked on a creator Vanity Link and signed up as a member on myonly.chat as a direct result of that action. User referral commission is calculated and added to the creator’s weekly payout. 
• Affiliate Program- Approved affiliates receive 25% Rev Share for all traffic that is sent via the referral platform. Payouts are sent every Monday as long as they meet the minimum threshold for payout for the specified payout method. Any unpaid commissions are immediately rolled over to the next period until paid. 

Account Deletion

• You can terminate your membership and/or delete your Account at any time.  Similarly, we reserve the right to disable your account at any time at our sole discretion.  Even if you delete your Account, we may continue to store some of your information and transactional data for compliance purposes.  In some jurisdictions, the law requires us to retain this information for a specified period of time under legal statute. 
• We can terminate or suspend your Account at any time at our discretion.  We can also cancel any membership subscriptions and remove any descriptions, posts or benefits at our discretion.
• You may not bring a claim against us for suspending or terminating your Account, a Creator’s account, or another User’s account, and you agree you will not bring such a claim.  If you try to bring such a claim, you are responsible for the damages caused, including attorneys’ fees and all related costs.
• These Terms remain in effect even if you no longer have an Account.

myonly.chat’s Creations

You can use our copyrights or trademarks to promote your myonly.chat page, but can’t use them for any other purpose without our permission.  Our Creations are protected by copyright, trademark and trade secret laws. Some examples of our Creations are the text on the site, our logo, and our programming code.  We grant you a limited license to use our logo and other copyrights or trademarks to promote your myonly.chat page. You may not otherwise use, reproduce, distribute, perform, publicly display or prepare derivative works of our Creations unless we give you permission in writing. Indemnity

If we are sued because of your use of someone else’s proprietary intellectual property or illicit conduct on myonly.chat, you will be expected to pay for the defense.  To that end, you hereby indemnify us from all losses and liabilities, including legal fees, that arise from violation of these terms or relate to your use of myonly.chat. We reserve the right to exclusive control over the defense of a claim covered by this clause. If we use this right, then you will help us financially and cooperatively with our defense.  Your obligation to indemnify us under this clause also applies to our subsidiaries, affiliates, officers, directors, employees, agents and third-party service providers.

Warranty Disclaimer

We do our best to make sure that myonly.chat works as expected.  Unfortunately, certain circumstances are beyond our control.  myonly.chat is provided “as is” and without warranty of any kind. Any warranty of merchantability, fitness for a particular purpose, non-infringement, and any other warranty is excluded to the greatest extent permitted by law.  The disclaimers of warranty under this clause also apply to our subsidiaries, affiliates and third-party service providers.

Limit of liability

If you lose money as a result of using myonly.chat, any reimbursement to you shall be limited to the amount of money we have earned through your use of myonly.chat.  To the extent permitted by law, we are not liable to you for any incidental, consequential or punitive damages arising out of these Terms, or your use or attempted use of myonly.chat.  Similarly, to the extent permitted by law, our liability for damages is limited to the amount of money we have earned through your use of myonly.chat. We are specifically not liable for loss associated with unfulfilled benefits and from losses caused by conflicting contractual agreements.  For the purpose of this clause “we” and “our” is defined to include our subsidiaries, affiliates, officers, directors, employees, agents and third-party service providers.

Dispute Resolution

If you have a problem with our site or with one of the Creators, we invite you to address it with us directly, but you are limited in how you can resolve disputes. You waive your right to trial by jury and your right to participate in a class action proceeding.

Governing law

This agreement enters under the Law of UK jurisdiction. In case of disputes arising between myonly.chat and the service provider, both parties consent to the exclusive jurisdiction and venue of the courts.

General Terms

These Terms are the only policies that will be followed by myonly.chat and all Users.  In the event that we find it necessary to modify the Terms, any amendments or modifications will be posted here and communicated to our Users. 

These Terms and any referenced policies are the entire agreement between you and us, and supersede all prior agreements. If any provision of these terms is held to be unenforceable, then that provision is modified to the extent necessary to enforce it.  If a provision cannot be modified, it is severed from these Terms, and all other provisions remain in force.  If either party fails to enforce a right provided by these Terms, it does not waive the ability to enforce any rights in the future.

We may sometimes make changes to these Terms and general policies. If we make material changes that adversely affect your rights, then we will let you know before the changes come into effect. Continuing to use myonly.chat after a change implies your acceptance of the new Terms or policies.

We may from time to time send you email notifications about special offers and promotions on myonly.chat. You may opt out of these emails at any time by selecting the unsubscribe link in the email. This agreement enters under the Law of UK  jurisdiction. In case of disputes arising between myonly.chat and the service provider, both parties consent to the exclusive jurisdiction and venue of the courts.
